ESG (Environmental, Social, Governance)

Gianni & Origoni

Sustainability and compliance with ESG factors are more than a choice or a requirement coming from the growing EU and national body of dedicated legislation: they are an opportunity that must be seized to maximize business operations and governance through the creation of value for the company itself and for its positioning and performance on a global level.

GOP has created an ESG focus team to assist clients in this important transitional phase in the legal ESG landscape.
The team brings together professionals from different practice areas, including Corporate Governance; M&A; Labour; Environment; Banking and Finance; Capital Markets; Energy and infrastructure; Tax and Competition.

With a unique multi-disciplinary approach, the ESG focus team can meet multiple and growing requirements related to the topic of sustainability and to the management of ESG factors.
We offer assistance and advice on a variety of issues, including corporate governance, sustainable investments, environment, finance and energy transition.

Our ESG focus team supports clients especially in:

  • understanding the regulatory framework and in tracking the latest ESG-related developments;
  • carrying out ESG due diligence aimed at assessing legal risks as well as the level of maturity of a company's ESG integration;
  • assessing the consistency of organizational structures in accordance with the objectives related to the issue of sustainability;
  • offering labour guidance in the development of long-term incentive plans also linked to the attainment of non-financial objectives, internal policies and negotiation of agreements that allow, at various levels, the achievement of ESG objectives;
  • addressing environmental and energy issues and access to determined calls for tenders;
  • negotiating supply contracts, as well as offering support in bidding and tendering, in order to ensure that ESG objectives are properly pursued in the supply chain and related due diligence activities;
  • offering advice on corporate communication in order to prevent or deal with cases of misleading advertising, greenwashing, social-pink washing and other unfair commercial practices;
  • submitting green loans, green bonds and related KPIs;
  • offering advice on the impact of ESG factors on public contracts;
  • training on the above topics, to all levels of the company organisation and its related value chain.
