Stefania Verroca has gained a significant experience in corporate law with particular reference to the so called “cashflow based” transactions, both domestic and cross-border. In particular, she assists Italian and International clients operating in the energy sector (with regards to both traditional and renewables sources, as photovoltaic and agrivoltaics plants, wind farms, biogas, biomass, biomethane, hydroelectric plants, hydrogen, gas, etc.), as well as on infrastructure projects (including hospitals, highways and telecommunication).
She provides assistance both in the context of M&A transactions, advising clients in the structuring, drafting and negotiation, on either seller or buyer side, of sale and purchase, joint venture and shareholders agreements, transfer of going concerns and commercial contracts, as well as in complex corporate reorganization transactions, and in the context of project financing transactions, advising clients in the structuring, drafting and negotiation, on either borrower or lenders side, of facility agreements, security documents and other finance documents (including hedging agreements) relating to limited recourse/non-recourse financings, as well as in the development and construction phases of energy and infrastructure projects, in Italy and abroad.
She graduated magna cum laude in law at LUISS Guido Carli of Rome.
She is co-author of “Main contracts in the renewable energy sector” (edited by CEDAM).
She is a member of the Italian Bar Association.
She speaks Italian and English.
