Raffaele Tronci specialises both on M&A transactions and on the banking and commercial fields of project finance transactions.
He has an extensive experience in the structuring and negotiation of sale and purchase agreements related to companies, going concerns or business units, shareholders agreements, joint venture agreements and various kinds of commercial agreement in the field of energy as well as in several other industries. In such fields, he assist Italian and foreign companies, merchant banks and private equity funds in national and cross-border transactions.
In the context of project finance transaction (in the sectors of renewable energy, infrastructures and natural resources), he provides legal assistance to lenders and sponsors in the structuring and negotiation of finance documents and security documents relating to limited recourse/non-recourse financings and in the negotiation of commercial contracts (EPC, O&M, investment agreements, etc.).
He is also involved in debt restructuring transactions in the sectors of specific expertise (namely in the energy sector) and in various kinds of financing transactions.
After graduating in Law from the University LUISS “Guido Carli” of Rome in 2005, he joined Gianni & Origoni.
From March 2008 through February 2009 he has been seconded as consultant in the legal department of the European Investment Bank in Luxembourg.
He has participated to the drafting of the Manuale Breve di Diritto dell’Energia of Eugenio Grippo and Filippo Manca (an energy law manual edited by CEDAM).
He is a member of the Italian Bar since 2008.
He speaks Italian and English.
